ORGANIZATIONAL REGULATIONS OF THE MEDICAL ENTITY
MEDISS MEDICAL LIMITED LIABILITY COMPANY

§1

GENERAL PROVISIONS

1. These Organizational Regulations are established for the medical entity Mediss Medical spółka z ograniczoną odpowiedzialnością, created by Mediss Medical spółka z ograniczoną odpowiedzialnością with its registered office in Gdańsk at ul. Szymanowskiego 2/1.18, 80-280 Gdańsk, REGON 522200522, NIP 5842818761, entered into the Register of Entrepreneurs maintained by the District Court in Gdańsk, Commercial Division of the National Court Register, under KRS number 0000975342, and entered into the Register of Entities Performing Medical Activities maintained by the Pomeranian Voivode under registry number 000000270179 (hereinafter: the “Medical Entity”).

2. The Medical Entity provides medical activities within the healthcare facility under the name: Mediss Medical Clinic (hereinafter: the “Healthcare Facility”).

3. The Medical Entity operates on the basis of:

a. generally applicable legal provisions, in particular:

i. the Act of 15 April 2011 on Medical Activity (consolidated text: Journal of Laws 2018, item 2190, as amended — hereinafter: “Medical Activity Act”);

ii. the Act of 6 November 2008 on Patient Rights and the Patient Rights Ombudsman (consolidated text: Journal of Laws 2009, item 417, as amended — hereinafter: “Patient Rights Act”).

b. the relevant entry in the Register of Entities Performing Medical Activities;

c. these Regulations.

§2

OBJECTIVES AND TASKS OF THE MEDICAL ENTITY

1. The objective of the Medical Entity is to undertake activities aimed at maintaining and improving health, in particular by providing healthcare services, health promotion, preventive activities, and encouraging pro-health behaviours.

2. The tasks of the Medical Entity include, in particular, providing healthcare services within the scope of outpatient specialist medical care, including healthcare services provided via ICT systems or communication systems.

3. The objectives and tasks of the Medical Entity are implemented, among others, through:

a. performing diagnostic and laboratory tests for the purpose of assessing health;

b. monitoring the patient’s health condition;

c. providing medical and physiotherapy consultations;

d. monitoring the patient’s compliance with medical recommendations;

e. performing ambulatory procedures as part of provided medical services;

f. educating patients and promoting health;

g. providing healthcare services via ICT or communication systems.

§3

TYPE OF MEDICAL ACTIVITY AND SCOPE OF HEALTHCARE SERVICES

1. The Medical Entity conducts medical activity within the scope of outpatient healthcare services.

2. As part of its operations, the Medical Entity provides healthcare services in the following areas: HC.1.3.3. Specialist outpatient treatment, HC.2.3. Ambulatory rehabilitation, HC.4.2.1. Ultrasound examinations, HC.4.8.1. Cytology, HC.4.8.2. Histopathology, HC.6.1.9. Other, HC.6.3. Prevention of infectious diseases, HC.6.3.1. Vaccinations, HC.6.3.9. Other services related to preventing infectious diseases.

§4

METHOD OF MANAGING THE ORGANIZATIONAL UNITS OF THE HEALTHCARE FACILITY

1. The operations of the Medical Entity are managed by the Management Board of Mediss Medical sp. z o.o. with its registered office in Gdańsk, acting as the head of the medical entity within the meaning of the Medical Activity Act (hereinafter: the “Director”).

2. The Director represents the Medical Entity externally and makes decisions regarding its functioning.

3. The Director performs all duties and exercises the rights imposed on the Medical Entity by generally applicable legal provisions.

4. The Director may appoint managers of individual organizational units, a medical director, and the Director of the Healthcare Facility.

5. The Director makes decisions related to the current operations of the Medical Entity, in particular concerning:

a. personnel management;

b. approving procedures, instructions, and other normative acts;

c. managing the work of the Healthcare Facility;

d. allocating tasks and resources necessary for their performance;

e. supervising the efficiency of work organization;

f. supervising the performance of duties by employees;

g. providing explanations and professional guidance;

h. supervising working conditions, OHS, and fire safety;

i. supervising compliance with legal and ethical standards;

j. evaluating employees;

k. giving opinions on job candidates;

l. recommending rewards or disciplinary actions;

m. improving work processes.

6. The Healthcare Facility employs the following medical professionals:

a. Physician;

b. Physiotherapist.

7. Their primary duties include:

a. Physician:

i. issuing medical opinions and assessments regarding the patient’s health;

ii. educating patients;

iii. monitoring the patient’s health condition;

iv. issuing opinions, certificates, prescriptions, referrals;

v. keeping medical records;

vi. supervising the patient care process.

b. Physiotherapist:

i. issuing opinions and assessments of the patient’s health;

ii. educating patients;

iii. keeping medical records;

iv. supervising the patient care process.

§6

PLACE OF PROVIDING HEALTHCARE SERVICES

1. The Medical Entity provides healthcare services in the Healthcare Facility located at ul. Szymanowskiego 2/1.18, 80-280 Gdańsk.

2. The place of providing telemedicine services is the location of the medical professional delivering them.

3. Services are provided during the opening days and hours of the Healthcare Facility.

4. For the safety of patients and staff, CCTV monitoring is used in publicly accessible areas. Recordings are stored for up to 3 months.

§7

PROCESS OF PROVIDING HEALTHCARE SERVICES

1. The Medical Entity ensures appropriate accessibility and quality of services.

2. Services are provided:

a. for a fee, in accordance with the price list: https://medissmedical.pl/cennik/

b. free of charge — in cases of life- or health-threatening emergencies.

3. The rules for providing services are specified in the regulations governing the use of the Medical Entity’s services.

4. The Medical Entity keeps a separate balance sheet referred to in Article 2(3) of the Medical Activity Act.

5. Patient registration is carried out:

a. in person,

b. by phone,

c. online.

6. Services are provided at an agreed appointment time.

7. Services requiring the patient’s presence are provided upon presentation of an identity document.

8. Teleconsultations are provided in accordance with the Regulations for Electronic Service Delivery.

9. Services are provided in compliance with legal requirements and ethical standards.

§8

COOPERATION WITH OTHER ENTITIES

1. The Medical Entity may cooperate with other medical entities on the basis of agreements.

2. Medical documentation may be shared with other entities when necessary to ensure continuity of treatment.

3. Cooperation is carried out in compliance with the law and patient rights.

§9

RULES FOR MAINTAINING MEDICAL DOCUMENTATION

1. The Medical Entity maintains and provides access to medical documentation in accordance with legal provisions.

2. Access to documentation is free of charge.

3. Mediss Medical provides medical documentation to authorised persons and institutions, including:

a. the patient, legal representative, or authorised person;

b. other medical entities;

c. public authorities, the National Health Fund (NFZ), professional self-government bodies;

d. the Minister of Health, courts, prosecutors;

e. legally authorised bodies;

f. the Social Insurance Institution (ZUS), disability assessment committees;

g. entities maintaining medical service registries;

h. insurance companies (with patient consent);

i. medical commissions of the Ministry of Interior, Ministry of Defence, Internal Security Agency, Foreign Intelligence Agency;

j. medical professionals within accreditation procedures;

k. provincial committees for medical events;

l. the patient’s heirs — within the scope permitted by law;

m. persons performing control activities;

n. schools and research institutes — without personal data;

o. other entities authorised by law.

4. Documentation is provided upon request of an authorised person.

5. Mediss Medical verifies the identity of the applicant.

6. The request and confirmation of sharing documentation are archived with the documentation.

7. Documentation may be provided:

a. for inspection,

b. as copies, extracts, or duplicates,

c. by issuing the original,

d. electronically,

e. on an electronic storage device.

8. Electronic documentation is shared in accordance with applicable regulations.

9. After the patient’s death, documentation is shared with authorised persons as provided by law.

§10

FINAL PROVISIONS

1. The provisions of these Regulations apply to all persons employed by or cooperating with the Medical Entity, as well as to patients.

2. In matters not regulated herein, generally applicable legal provisions apply.

3. Other pro-health activities performed by auxiliary personnel are also carried out within the Medical Entity; these are not healthcare services.

4. The Regulations are available at the Healthcare Facility.

5. The provisions of the Regulations are communicated to employees and cooperating persons.

6. Amendments to the Regulations require the same form as their introduction.

7. The Regulations enter into force on 10 October 2025.
